Important Notices

This app is intended for general wellness education, stress management, personal support, and self-guided wellness experiences. It does not diagnose, treat, cure, or monitor any medical or mental health condition. Information provided through the app may be based on information you voluntarily provide and is not reviewed by licensed healthcare professionals.

We value your privacy. Personal wellness information is stored using reasonable administrative, technical, and organizational safeguards. If you access Wellify through an employer-sponsored program, your employer may receive group-level analytics and certain limited individual-level participation metrics, such as enrollment status, overall engagement, completion counts for support experiences, and incentive fulfillment status. Employers do not receive your specific support selections, personal responses, journal entries, conversations, messages, AI interactions, or other personal written content. See Section 9, Data Use, Privacy & Employer Programs.

This app is not a medical device and is not intended to provide medical care, mental health treatment, diagnosis, crisis intervention, psychotherapy, or emergency services. Wellify is not subject to the Health Insurance Portability and Accountability Act of 1996, commonly known as HIPAA, unless Wellify is acting on behalf of a healthcare provider, health plan, or other HIPAA-covered entity under a separate written agreement. For medical or mental health concerns, please consult a licensed healthcare professional.

If you believe you are experiencing a medical or mental health emergency, call 911 or your local emergency services immediately.

In the United States, you may also call or text 988 to reach the Suicide & Crisis Lifeline.

Some content in the app—including text, images, audio, recommendations, summaries, and other media—may be generated or enhanced using artificial intelligence. AI-generated content may be inaccurate, incomplete, or inappropriate for your individual circumstances. See Section 7, AI-Generated Content and Outputs.

Wellify does not sell your personal data to third parties.

1. Acceptance of Terms

By accessing or using the Wellify mobile application, website, or related services, collectively referred to as the “Services,” you agree to be bound by these Terms of Service, referred to as the “Terms.”

These Terms form a legally binding agreement between you and Wellify, Inc., referred to as “Wellify,” “we,” “our,” or “us.”

If you do not agree to these Terms, do not access or use the Services.

2. Eligibility

You must be at least 12 years of age to use Wellify.

If you are under 12 years of age, you may use the Services only with the permission and supervision of a parent or legal guardian.

By allowing a minor to use the Services, the parent or legal guardian agrees to these Terms on the minor’s behalf and accepts responsibility for the minor’s use of the Services.

By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

The Services are not intended for anyone under 12 years of age.

3. User Accounts

Certain features may require you to create an account or sign in using an email address, username, Apple account, Google account, or another supported authentication method.

You agree to provide accurate, current, and complete information when creating and maintaining your account.

You are responsible for:

Maintaining the confidentiality of your account credentials;
Restricting access to your account and device;
All activity that occurs through your account; and
Notifying Wellify promptly if you believe your account has been accessed or used without authorization.

You may not create an account using another person’s identity or information without authorization.

Usernames must not impersonate another person, violate another person’s rights, mislead other users, or contain unlawful, abusive, or inappropriate content.

We may require you to choose a different username if the username is already in use or violates these Terms.

4. License and Access

Subject to your compliance with these Terms, Wellify grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for personal, non-commercial purposes.

You may not:

Copy, reproduce, distribute, publicly display, or commercially exploit the Services;
Modify, translate, adapt, or create derivative works from the Services;
Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services;
Remove or alter copyright, trademark, or other proprietary notices;
Circumvent access restrictions, security systems, or technical protections;
Rent, lease, sell, sublicense, assign, or transfer access to the Services; or
Use the Services in a manner not expressly permitted by these Terms.

Wellify may modify, suspend, restrict, or discontinue any portion of the Services at any time.

5. Prohibited Conduct

You agree not to:

Use Wellify for any unlawful, fraudulent, or unauthorized purpose;
Violate any applicable law, regulation, or third-party right;
Impersonate another person, company, or organization;
Harass, threaten, abuse, defame, or harm another person;
Upload, transmit, or share content that is unlawful, harmful, threatening, abusive, obscene, discriminatory, or otherwise inappropriate;
Upload viruses, malware, malicious code, or other harmful technology;
Interfere with or disrupt the operation, availability, or security of the Services;
Attempt to gain unauthorized access to any account, computer system, server, database, or network;
Use bots, scrapers, crawlers, or automated tools to access or collect information from the Services without written permission;
Test, probe, or circumvent security or authentication measures;
Use the Services to develop, train, or improve a competing product or service;
Reverse engineer, decompile, or disassemble any portion of the Services; or
Encourage or assist another person in violating these Terms.

6. Intellectual Property

The Services and all content and materials made available through them—including software, source code, designs, graphics, interfaces, trademarks, logos, text, videos, audio, images, animations, databases, and other content—are owned by Wellify or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Except for the limited license expressly granted in these Terms, no right, title, or interest in the Services is transferred to you.

You may not use Wellify’s name, trademarks, logos, branding, or other proprietary materials without prior written permission.

If you provide feedback, ideas, suggestions, or recommendations regarding the Services, you grant Wellify a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation to you.

7. AI-Generated Content and Outputs

7.1 AI Use

The Services may generate, personalize, recommend, summarize, or enhance content using artificial intelligence, machine learning, or automated systems.

This content may include text, images, audio, recommendations, summaries, educational information, prompts, or other materials, collectively referred to as “AI Outputs.”

Some images, audio, text, or other media displayed in the Services may be synthetic, computer-generated, or AI-enhanced.

7.2 No Professional Advice

AI Outputs are provided solely for general informational, educational, and wellness-support purposes.

AI Outputs are not medical, mental health, legal, financial, or other professional advice and are not a substitute for advice from a qualified professional.

You should not rely on AI Outputs to make decisions involving your health, safety, finances, legal rights, or other important matters.

7.3 Accuracy and Limitations

AI Outputs may be inaccurate, incomplete, outdated, misleading, repetitive, inappropriate, or affected by unintended bias.

Wellify does not guarantee the accuracy, completeness, safety, usefulness, or reliability of any AI Output.

You are responsible for evaluating AI Outputs before relying on or acting upon them.

7.4 Your Inputs

You represent and warrant that you have all rights and permissions necessary to submit any prompts, text, images, information, data, or other materials to the Services, collectively referred to as “Inputs.”

You grant Wellify a non-exclusive, worldwide, royalty-free license to host, process, reproduce, transmit, and use your Inputs as reasonably necessary to provide, operate, secure, support, and improve the Services.

You should not submit confidential, highly sensitive, or legally protected information unless the Services specifically request it and you are authorized to provide it.

7.5 Your Use of Outputs

Subject to these Terms and applicable law, Wellify grants you a limited, non-exclusive, non-transferable license to use AI Outputs generated for you for personal, non-commercial purposes.

You are responsible for your use of AI Outputs and for complying with applicable laws and third-party rights.

7.6 Content Review

To operate, maintain, secure, support, and improve the Services; investigate misuse; enforce these Terms; or comply with legal obligations, Wellify and its authorized service providers may process or review limited portions of Inputs and AI Outputs.

Any such processing will be conducted in accordance with Wellify’s applicable privacy practices.

7.7 Third-Party AI Providers

Some AI features may rely on third-party models, platforms, or service providers.

Wellify is not responsible for the independent actions, availability, accuracy, or performance of third-party AI providers.

8. Paid Services, Purchases, and Subscriptions

Certain features, content, or services may require payment.

Prices, products, features, and payment options may vary by platform, location, or account type and may change from time to time.

Unless otherwise required by law or the applicable app store’s rules, payments are non-refundable.

If Wellify offers subscriptions:

Subscriptions may automatically renew unless canceled before the end of the applicable billing period;
Charges will be processed through the payment method associated with your app store or account;
You are responsible for canceling subscriptions through the platform where the subscription was purchased; and
Deleting the app or your account may not automatically cancel a subscription.

Purchases made through the Apple App Store or Google Play are also governed by the applicable store’s payment, refund, renewal, and cancellation policies.

Wellify may offer free trials, promotional pricing, discounts, or introductory offers. Eligibility and terms may vary.

9. Data Use, Privacy & Employer Programs

9.1 General Data Use

We collect and process information to:

Provide, operate, maintain, and improve the Services;
Create and manage user accounts;
Personalize the user experience;
Provide customer support;
Monitor performance and security;
Detect and prevent fraud, misuse, and technical problems;
Communicate with users;
Administer employer-sponsored programs;
Comply with applicable laws and legal obligations; and
Carry out other purposes described in these Terms and our Privacy Policy.

Access to personal information by Wellify personnel and service providers is limited according to role and business need.

9.2 Categories of Data

Depending on how you use the Services, we may process:

Account information;
Username, email address, or login information;
Device and browser information;
App usage and engagement information;
Technical logs and diagnostic information;
Customer support communications;
Purchase and subscription information;
Information you voluntarily provide when selecting support topics or using support features;
Journal entries, messages, prompts, or other written content you choose to submit; and
Other information described in our Privacy Policy.

Sensitive information, if collected, will be handled using safeguards appropriate to the nature of the information.

9.3 Sharing with Employers

If you access Wellify through an employer-sponsored program, your employer may receive group-level analytics about program participation and utilization.

This may include:

Number of eligible or enrolled participants;
Account activation rates;
Overall participation rates;
General engagement trends;
Aggregate utilization of support features;
Completion counts;
Incentive participation or fulfillment information; and
Other aggregated or de-identified reporting.

Your employer may also receive limited individual-level administrative or participation information, such as:

Eligibility status;
Enrollment status;
Account activation status or date;
General participation status;
Total completion counts;
Incentive eligibility or fulfillment status; and
Other limited information needed to administer the employer-sponsored program.

Employers do not receive:

Your specific support topic selections;
The specific support content or tools you accessed;
Personal responses;
Journal entries;
Conversations or messages;
AI prompts or AI conversations;
Free-text content;
Personal notes;
Individualized recommendations; or
Other personal wellness content you create within the Services.

9.4 Aggregation and De-Identification

Wellify may aggregate, anonymize, suppress, or de-identify information before sharing reports with employers or other authorized parties.

Wellify may use minimum reporting thresholds, reporting windows, data suppression, or other safeguards to reduce the risk that aggregated information could be used to identify an individual.

9.5 Disclosures You Control

Certain features may allow you to export, share, download, or transmit information to a third party.

When you choose to use such a feature, you direct Wellify to share the selected information with the recipient you choose.

You are responsible for confirming that the recipient is correct and authorized to receive the information.

9.6 Service Providers

We may use third-party service providers to support hosting, infrastructure, analytics, authentication, communications, customer support, payment processing, security, artificial intelligence, and other business functions.

These providers may process information on Wellify’s behalf and are required to protect information in accordance with applicable contracts and law.

9.7 Safety, Security, and Legal Compliance

We may access, preserve, use, or disclose information when we reasonably believe doing so is necessary to:

Comply with law, regulation, legal process, or governmental request;
Enforce these Terms;
Investigate suspected fraud, abuse, security incidents, or technical issues;
Protect the rights, property, or safety of Wellify, our users, or the public; or
Prevent harm or illegal activity.

9.8 Privacy Practices

Additional details regarding our collection, use, retention, protection, and disclosure of information are provided in our Privacy

Policy and other privacy notices made available through the Services.

If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will govern.

9.9 No Sale of Personal Data

Wellify does not sell your personal data to third parties.

We may share information with service providers, business partners, app stores, legal authorities, or other parties as described in these Terms and our Privacy Policy, but such sharing is not a sale of personal data.

10. Termination

We may suspend, restrict, or terminate your access to the Services if:

You violate these Terms;
Your use creates a security, legal, regulatory, or operational risk;
We suspect fraud, abuse, or unauthorized activity;
We are required to do so by law; or
We discontinue all or part of the Services.

You may stop using Wellify or request deletion of your account at any time.

Termination does not affect provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLIFY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

Wellify does not guarantee that:

The Services will always be available, secure, or uninterrupted;
Errors or defects will be corrected;
The Services will be free from viruses or harmful components;
Content will always be accurate, complete, current, or appropriate; or
The Services will meet your individual needs or expectations.

Wellify does not provide medical advice, mental health treatment, diagnosis, psychotherapy, crisis intervention, or emergency services.

All wellness, educational, and support content is provided for general informational purposes only.

Your use of the Services and reliance on any content is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Wellify and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages for:

Loss of profits;
Loss of revenue;
Loss of data;
Loss of goodwill;
Business interruption;
Personal injury;
Emotional distress; or
Any other intangible loss arising out of or related to your use of, or inability to use, the Services.

To the fullest extent permitted by law, Wellify’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

The amount you paid directly to Wellify during the 12 months preceding the event giving rise to the claim; or
One hundred U.S. dollars.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of these limitations may not apply to you.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Wellify and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Your use or misuse of the Services;
Your violation of these Terms;
Your violation of applicable law;
Your violation of another person’s rights; or
Content or information you submit through the Services.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Before initiating formal proceedings, you and Wellify agree to attempt to resolve any dispute informally by providing written notice describing the dispute and the requested resolution.

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules.

Arbitration will be conducted on an individual basis. To the fullest extent permitted by law, you and Wellify waive the right to participate in a class action, class arbitration, or representative proceeding.

Either party may bring an individual claim in small claims court if the claim qualifies.

Nothing in this section prevents either party from seeking temporary or injunctive relief to protect intellectual property, confidential information, security, or access to the Services.

15. Third-Party Services

The Services may link to, connect with, or rely on third-party websites, platforms, applications, products, payment processors, authentication providers, or other services.

Wellify does not control and is not responsible for the availability, content, security, accuracy, privacy practices, or business practices of third-party services.

Your use of third-party services is governed by their own terms and privacy policies.

16. References and Attribution

References, citations, quotations, summaries, excerpts, educational materials, or links displayed through the Services are provided for informational purposes.

All rights in third-party works remain with their respective authors, publishers, licensors, or rights holders.

Third-party names, trademarks, logos, and brand names belong to their respective owners.

Their appearance in the Services does not imply sponsorship, affiliation, endorsement, or approval unless expressly stated.

17. Modifications to Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or through another reasonable method.

The updated Terms will become effective on the date stated in the revised version.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Services.

18. App Store Requirements

These Terms are between you and Wellify, not Apple Inc. or Google LLC.

Apple and Google are not responsible for the Services, maintenance, support, warranties, or claims relating to the Services, except as required by their applicable terms.

Apple Inc., Google LLC, and their subsidiaries may be third-party beneficiaries of these Terms and may have the right to enforce applicable provisions against you.

Your use of the Services must comply with the rules and terms of the platform from which you downloaded the app, including the Apple Media Services Terms and Conditions and the Google Play Terms of Service.

If there is a conflict between these Terms and mandatory app-store requirements, the applicable app-store requirements will control to the extent of the conflict.
